Soundpub Product-Specific Terms

A legal disclaimer

These Product-Specific Terms (“Terms”) govern your use of Soundpub’s music distribution services and related products. By using Soundpub's services, you agree to comply with these Terms in addition to the general Terms of Service. If there is a conflict between these Product-Specific Terms and the general Terms of Service, these Product-Specific Terms will govern.

1. Music Distribution Services

Soundpub provides a cloud-based platform for distributing music content, including audio files, metadata, album artwork, and artist photos, to third-party music streaming platforms such as Spotify, Apple Music, Amazon Music, and YouTube Music.

  • Metadata & Content Submission: You must submit accurate and complete metadata, artwork, and other necessary materials for each release. Any errors or omissions in the information provided may result in delays or rejection by the platforms.

  • Platform Approvals: While Soundpub handles the technical distribution, all content is subject to the approval of each streaming platform, and Soundpub does not guarantee acceptance by any platform.

2. Royalties and Payments

  • Streaming Revenues: Soundpub will collect all revenues derived from streams, downloads, and other forms of consumption of your content from third-party platforms. This includes royalties and any related payments based on streaming counts.

  • Payment Distribution: Once Soundpub has received the necessary payment data from platforms, revenues will be distributed to you based on your agreement with Soundpub.

  •  Payment Processing: Payouts will occur on a [monthly/quarterly] basis. Any discrepancies or disputes related to payments must be reported within [X] days of receiving the payout.

3. Reporting and Analytics

Soundpub provides reporting and analytics based on the data received from third-party platforms.

  • Graphical Data Representation: You will have access to performance data, including streaming counts, revenue, and audience analytics, via Soundpub’s cloud platform.

  • Settlement Reports: Detailed settlement reports will be provided, summarizing all transactions and revenue for the specified period.

4. Content Rights and Responsibilities

  • Copyright Ownership: You must own or control all rights necessary for the distribution of your content through Soundpub, including copyrights and licenses.

  •  Content Removal: Soundpub reserves the right to remove any content that violates platform policies, legal regulations, or these Terms. Removal from the platforms can occur without prior notice in such cases.

5. Service Modifications

Soundpub reserves the right to modify, update, or discontinue any aspect of its services, including the supported platforms, features, and payout structure, with appropriate notice to users.

6. Marketing Communication and Consent

  • Marketing Consent: By using Soundpub's services, you agree that Soundpub may send you marketing communications related to its services, promotions, and updates. You will have the option to opt-in or opt-out of receiving such communications during registration or through your account settings.

  • Opting Out: You can opt out of receiving marketing emails at any time by using the unsubscribe link provided in the emails or by updating your communication preferences in your account.

  •  Non-Marketing Communication: Even if you opt out of marketing emails, Soundpub may still send you transactional or service-related emails necessary for the administration of your account and use of the Soundpub platform.

7. Limitations of Liability

Soundpub will not be held liable for any third-party platform actions, such as delays in approval, removal of content, or changes in payout structures. You acknowledge that distribution via these platforms is subject to their individual terms and conditions, which may affect the availability and revenue generation of your content.

8. Termination

Either party may terminate the service agreement with [30 days] notice. Upon termination, any pending revenues will be settled and paid out within [X] days, provided that all required data has been received from the platforms.
